Terms of Service

1. Acceptance of Terms

By accessing or using Oscilot ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including those with accounts and those browsing without an account.

Oscilot is currently in active development and is provided as a beta product. Features, policies, and availability may change without notice.

2. Beta Service

The Service is currently offered as a beta product for testing and evaluation purposes. By using the Service, you acknowledge and agree that:

  • The Service is provided for testing purposes and may contain bugs, errors, or security vulnerabilities.
  • You use the Service at your own risk. We make no guarantees regarding uptime, data durability, or continued availability.
  • Data loss, account resets, or breaking changes may occur at any time without notice.
  • We have no obligation to release a final or commercial version of the Service.
  • We may discontinue the beta at any time, with or without notice.
  • Beta access does not create any expectation of continued access or any contractual right to a future version of the product.

3. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or use of your account.

You may not use another person's account without permission. We reserve the right to terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to use the Service to:

  • Post, transmit, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Distribute spam, malware, or any content intended to disrupt or damage systems.
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Engage in any activity that interferes with or disrupts the Service or other users' experience.
  • Scrape, crawl, or extract data from the Service without explicit written permission.
  • Use the Service for any commercial purpose without our prior written consent.

6. Content

You retain ownership of content you create and share through the Service. By posting content, you grant Oscilot a non-exclusive, royalty-free, worldwide license to store, display, and transmit that content solely as necessary to operate the Service.

You are solely responsible for the content you post. We do not endorse any user content and are not liable for content posted by users.

We reserve the right to remove content that violates these Terms or that we determine, in our sole discretion, to be harmful or inappropriate.

7. Feedback and Suggestions

If you submit feedback, bug reports, feature requests, ideas, or other suggestions ("Feedback") to us, you agree that we may use, reproduce, disclose, and otherwise exploit such Feedback without restriction and without any obligation to compensate you. You assign to Oscilot all rights, title, and interest in and to any Feedback you provide. We are under no obligation to implement or act on any Feedback.

8. Confidentiality

As a beta participant, you may have access to unreleased features, user interface designs, roadmap information, or other non-public aspects of the Service ("Confidential Information"). You agree not to publicly disclose, share screenshots of, or discuss Confidential Information without our prior written consent. This does not apply to information that is or becomes publicly available through no fault of yours.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may also delete your account at any time through account settings.

Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

As a beta product, the Service may experience downtime, data loss, or breaking changes at any time and without notice.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Oscilot and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or loss of goodwill, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service exceed the greater of (a) the total amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars ($100). Because the Service is currently free, this cap will in most cases be $0.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Oscilot and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you post or transmit through the Service.

13. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

Informal Resolution. Before filing any formal legal claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), rather than in court. The arbitration shall take place in California, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions. Either party may seek emergency injunctive relief from a court to prevent irreparable harm pending arbitration. Nothing in this section prevents you from filing a complaint with a government agency where permitted by law.

Opt-Out. You may opt out of binding arbitration by sending written notice to [email protected] within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

14. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in California.

15. Changes to Terms

We may revise these Terms at any time. We will provide notice of significant changes by posting the updated Terms with a revised date. Continued use of the Service after changes take effect constitutes your acceptance of the new Terms.

16. General

These Terms constitute the entire agreement between you and Oscilot regarding the Service. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
